Advertising Agreement

This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by Lawyers Clearinghouse on Affordable Housing and Homelessness, Inc. ("Advertiser") for advertising services provided through Microsoft Ads.

2. Purpose

The purpose of this Agreement is to outline the terms and conditions under which Advertiser will use Microsoft Ads to promote its services related to affordable housing and homelessness advocacy.

3. Scope of Services

Microsoft Ads will provide Advertiser with access to its advertising platform, enabling the creation, management, and optimization of digital ad campaigns. These services include but are not limited to:

  • Displaying ads on search engine results pages (SERPs) and partner websites.
  • Targeting specific audiences based on demographics, interests, and search behavior.
  • Providing analytics and performance reports for ad campaigns.

4. Advertiser Responsibilities

Advertiser agrees to:

  1. Provide accurate and truthful information about its business and services in all advertisements.
  2. Comply with all applicable laws, regulations, and Microsoft Ads policies, including but not limited to:
    • Prohibitions on misleading or deceptive content.
    • Restrictions on sensitive content (e.g., political, adult, or violent material).
    • Compliance with data privacy laws such as GDPR and CCPA.
  3. Ensure that all landing pages linked from ads are functional, secure, and relevant to the advertised content.
  4. Pay all fees associated with ad campaigns as outlined in Section 6 below.

5. Platform Policies

Advertiser acknowledges and agrees to abide by the following Microsoft Ads policies:

  1. Prohibited Content: Ads must not promote illegal activities, counterfeit goods, or discriminatory practices.
  2. Trademark Compliance: Advertiser must have proper authorization to use any trademarks, logos, or copyrighted materials in its ads.
  3. Data Usage: Advertiser must comply with Microsoft’s data usage policies, ensuring that user data collected through ads is handled securely and lawfully.

6. Payment Terms

  1. Advertiser will be billed based on a pay-per-click (PPC) model, where charges are incurred each time a user clicks on an ad.
  2. All payments must be made in U.S. dollars via the payment method specified in the Microsoft Ads account settings.
  3. Late payments may result in suspension of ad campaigns until the outstanding balance is resolved.

7. Intellectual Property

  1. Advertiser retains ownership of all intellectual property rights in its ads and promotional materials.
  2. Microsoft Ads retains ownership of its platform, tools, and any proprietary technology used to deliver ad services.

8. Indemnification

Advertiser agrees to indemnify and hold harmless Microsoft Ads, its affiliates, and their respective officers, employees, and agents from any claims, damages, or liabilities arising out of:

  1. Advertiser’s breach of this Agreement.
  2. Any content or materials provided by Advertiser.
  3. Advertiser’s violation of applicable laws or third-party rights.

9. Termination

  1. Either party may terminate this Agreement at any time by providing written notice to the other party.
  2. Upon termination, Advertiser will remain responsible for all accrued fees and obligations up to the termination date.
  3. Microsoft Ads reserves the right to suspend or terminate Advertiser’s account immediately if Advertiser violates any terms of this Agreement or platform policies.

10. Limitation of Liability

  1. In no event shall Microsoft Ads be liable for any indirect, incidental, consequential, or punitive damages arising out of this Agreement.
  2. Microsoft Ads’ total liability to Advertiser shall not exceed the total amount paid by Advertiser for ad services during the preceding 12 months.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law principles.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior agreements or understandings, whether written or oral.

13. Acceptance

By creating an account on Microsoft Ads and initiating an ad campaign, Advertiser acknowledges that it has read, understood, and agreed to the terms of this Advertising Agreement.
